1. Seller's Acceptance: Seller's acceptance of Buyer's order is conditional upon Buyer's assent to these terms and conditions. These terms supersede any terms in Buyer's purchase order(s) and govern all transactions between Buyer and Seller. Future transactions are subject to these terms unless modified in writing signed by all parties.

2. Payment Terms: Seller accepts Visa, MasterCard, and American Express. Net 30 and Net 15 payment terms are available for pre-approved wholesale customers, subject to prior arrangement with Colorfast.

3. Pre-Authorization on Debit and Credit Cards: Seller will pre-authorize the card for the portion of the order shipping cost, including freight and sales tax, before processing the order. The pre- authorization charge will be removed from the account within 1-7 days.

4. Shipping: Orders received by 12PM PST, with available inventory, will be shipped the same day. The customer bears the shipping cost, and shipping charges may be billed separately for any changes requested after order placement.

5. Disclaimer of Warranties: Seller disclaims all express and implied warranties, including merchantability and fitness for a particular purpose, regarding merchandise. Buyer acknowledges and accepts these disclaimers.

6. Limitation on Liability: Seller shall not be liable for any damages, including indirect, incidental, or consequential damages, arising from the use or sale of merchandise.

7. Force Majeure: Neither party shall be liable for delays in performance caused by circumstances beyond its control, including acts of God, war, government regulations, terrorism, or transportation disruptions.

8. Notice of Defects: Buyer must report any claims related to shortages, quality, or specifications within 7 days of receiving merchandise.

9. Garment Ownership: Once modified or laundered, Buyer assumes ownership of merchandise and waives the right to return or claim defects. Seller is not liable for damages during garment dyeing.

10. Returns: Buyer must obtain written authorization (RA#) for returned merchandise and will be charged a 20% restocking fee. Claims must be made within 7 days of receipt, and returns must be completed within 30 days.

11. Promotional Codes, Coupons, and Discounts: Promotions cannot be combined or applied to gift certificates. Discounts will be deducted from the value of returned items.

12. Default: Delinquent buyers may incur service charges, collection fees, and attorney's fees. Returned checks will incur a handling fee.

13. Jurisdiction: Transactions are governed by California law, with disputes resolved in Los Angeles County courts.

14. Exclusion of Implied Warranties: Implied warranties are excluded from transactions between Buyer and Seller

15. Acceptance of Goods: Buyer waives any claims for damages resulting from known defects upon accepting merchandise.

16. Deterioration of Buyer's Credit: Seller may suspend deliveries if Buyer fails to pay, or if Buyer's financial condition deteriorates.

17. Pricing: Prices are subject to change without notice. Wholesale pricing requires a valid vendor’s license or resale certificate.

18. Personal Guaranty: Officers of the company personally guarantee payment and performance of the company's obligations.
